Terms of Service

These Terms of Service (hereinafter referred to as "Terms") apply when you visit and use the Checkeys website (hereinafter referred to as the "Website") or the Service (defined below). They also apply to all information, recommendations, and/or services provided to you through the Website or the Service. By accessing the Website, you agree to be bound by these Terms. 1. Please read these Terms carefully before using the Site. 2. The Service, Application, and Website are provided by isub Inc. (hereinafter referred to as the "Company"). 3. These Terms may be changed by the Company from time to time. Revised versions will replace older versions upon release without additional notice to you and will be published on the Website for your review. The version posted on the Website will be the current Terms and will apply to your use of the Service and Website. By continuing to use the Service and Website after new Terms have been published, you agree to the modified Terms and they will be binding upon you. If you do not agree to the revised Terms, please discontinue using the Service and Website immediately.

Checkeys provides a business support system. Checkeys is offered under the following plans or services: * If you use Checkeys individually, there is a free version available, but you can receive enhanced services by paying a monthly usage fee per person. * If you use it with multiple people, you can receive enhanced services by paying a monthly fee per person.

• You and your authorized users (defined below) may be required to register for a Checkeys account to access or use the Checkeys Service. • Account information must be accurate and is subject to the Checkeys Privacy Policy. • You must keep your Checkeys Service password and other access credentials strictly confidential and not share them with unauthorized persons. • If an authorized user stops working for you, you must immediately terminate their account and all access to the Checkeys Service. • You are responsible for all acts performed using your and your users' accounts, passwords, or access credentials. • Accounts are granted to a specific customer and cannot be shared with others.

1. General Restrictions: You must not do (or allow any third party to do) any of the following: • Rent, lease, copy, transfer, resell, sublicense, lease, timeshare, or otherwise provide access to the Checkeys Service to a third party. • Publicly disseminate information regarding the performance of the Checkeys Service. • Disable or circumvent Checkeys Service security measures, rate limits, or usage tracking (such as event tracking), or configure the Checkeys Service (or its components) to avoid transmitting events or transactions or to avoid incurring fees. • Distribute any part of the Checkeys Service except as permitted by this Agreement. • Access the Checkeys Service for the purpose of building a competitive product or service or copying its features or user interface. • Use or permit the use of the Service for any illegal or misleading purpose or in a manner inconsistent with these Terms. 2. You further acknowledge and agree that Checkeys may not be fully functional and may contain bugs, errors, omissions, and other issues for which Checkeys is not responsible. The Company reserves the right to unilaterally modify, suspend, limit, terminate, or cancel any or all of the Website and/or Services at any time without prior notice to you for reasons including, but not limited to, a violation or evidence of a violation of the Terms. Accordingly, your use of "Checkeys" is at your own risk.

1. Checkeys does not guarantee that your subscription plan will be available indefinitely. 2. Recurring Billing: By subscribing to a subscription plan, you authorize Checkeys to bill your payment method on a recurring monthly basis without issuing an invoice. You explicitly authorize billing subscription fees to your Checkeys payment method (e.g., credit card). Such authorization remains valid until the end of the subscription term and any applicable renewal term, or until you cancel all subscriptions. 3. Auto-Renewal: Once you provide a payment method to Checkeys and sign up for a subscription, you will be automatically billed unless you indicate you are canceling. 4. You agree to pay all amounts due, including recurring fees. 5. Non-Refundable: Fees for rights of use are non-refundable and non-creditable, except where required by law. Checkeys subscriptions can be canceled, and such cancellation will be effective at the end of the then-current subscription term. Once your cancellation is effective, you will be canceled and will no longer be able to use Checkeys. If you fail to pay your subscription(s) on time, we reserve the right to suspend you.

The Service is provided "as is." Checkeys explicitly disclaims all implied warranties and representations, including but not limited to warranties of merchantability, fitness for a particular purpose, data accuracy, and non-infringement. We do not warrant that: (1) The Service will meet your requirements. (2) Your use of the Service will be uninterrupted, continuous, and error-free. (3) The Service will be accurate or reliable. (4) Errors in the Service will be corrected. The disclaimers in this section apply to the maximum extent permitted by applicable law.

Checkeys reserves the exclusive right to settle, compromise, and pay any claims or causes of action brought against us without your prior consent. Checkeys reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify Checkeys, and you agree to cooperate with our defense of these claims.

In no event shall the Company, its licensors, or its employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Service, content on the Service, or items obtained through the Website. This includes direct, indirect, special, incidental, and punitive damages.

The entirety of the Service, including logos, features, trademarks, designs, etc. contained therein, is owned by or licensed to Checkeys, subject to copyright and other intellectual property rights under laws and international treaties. You agree not to use, copy, or distribute the content contained in the Service beyond the use permitted by this Agreement.

The Company retains ownership and operational rights of the Service. We provide the Service based on these Terms and the corresponding rules issued by us.
